1. Acceptance of Terms

By accessing and using Tunio's services, you accept and agree to be bound by the terms and provisions of this agreement. Tunio is operated by Orange Solutions LLC, a company registered in the Republic of Armenia at 45 Orbeli Brothers St, Arabkir district, Yerevan 0033 (the "Company", "we", "us"); these Terms are an agreement between you and the Company. If you do not agree to abide by the above, please do not use this service.

2. Service Description

Tunio is an AI-powered streaming platform that allows users to create personalized streams with AI hosts, convert RSS audio to podcasts, and generate unique music content. Our service is provided on a subscription basis with various pricing tiers.

3. User Accounts

To access certain features of our service, you must register for an account. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

4. Acceptable Use

You may not use our service for any unlawful or prohibited purpose. You must not transmit any worms or viruses or any code of a destructive nature. Any violation may result in immediate termination of your account.

5. Intellectual Property

The Tunio platform, its software and underlying technology are the intellectual property of Tunio. The rights in the music supplied through the service, and your licence to play it on business premises, are set out in section 6.

6. Licence to Play Tunio Music on Business Premises

Music supplied through the Tunio service (the "Tunio catalogue") is generated by Tunio with AI tools under a paid licence from the AI provider. Tunio controls the rights in the Tunio catalogue. It is not part of the repertoire of any collecting society or performing rights organisation, and Tunio is not a member of any such organisation.

For as long as your paid subscription is active, Tunio grants you a non-exclusive, non-transferable licence to play the Tunio catalogue in public at the premises registered in your account, including reception, service and waiting areas, and to relay it within those premises through any playback equipment. The number of premises covered depends on your plan.

The licence does not cover:

audio files that you or your staff upload to your account; you alone are responsible for the rights in them;
radio, television, consumer streaming services, live music or any other music source at your premises; those remain subject to the rights of their owners and may require a licence from a collecting society;
copying, downloading or distributing the Tunio catalogue outside the Tunio service, or using it in recorded or online content without our written consent.

On request we issue a certificate in the name of your business confirming the above for the premises registered in your account. If a collecting society or rights holder raises a question about music supplied by Tunio, notify us within 3 working days and forward the correspondence; within 10 working days of your request we provide you, or the enquirer directly, with documents confirming Tunio's rights and a written statement of our position.

Tunio warrants that it holds the rights necessary to grant this licence. You acknowledge that the Tunio catalogue is generated by AI and that unintended similarity to an existing work cannot be entirely excluded. Tunio removes any track shown to reproduce a protected work and handles any claim concerning such a track together with you. Tunio's liability for the music it supplies is limited as set out in section 10 and does not extend to music from other sources played at your premises.

7. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the service, to understand our practices.

8. Termination

We may terminate your access to all or any part of our service at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this agreement, you may simply discontinue using the service.

9. Disclaimer of Warranties

The information on this service is provided on an 'as is' basis. To the fullest extent permitted by law, the Company excludes all representations, warranties, conditions and terms except those expressly set out in these terms.

10. Limitation of Liability

In no event shall Tunio, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, punitive, consequential, or special damages.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any significant changes via email or through our platform.
